These Terms of Service ("Terms") govern your access to and use of our platform, website and APIs. By creating an account or using our service, you agree to be bound by these Terms.

1. About these Terms

This is a binding agreement between you ("you", "Customer") and the company operating this platform ("we", "us", "Service"). Please read them carefully. If you do not agree, do not use the Service.

2. Account & eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to register. You are responsible for keeping your login credentials confidential and for any activity that occurs under your account.

  • You agree to provide accurate, current and complete information during registration.
  • One person or legal entity may not maintain multiple free accounts to bypass usage limits.
  • We may suspend or terminate accounts that misuse the Service.

3. Permitted use

You may use the Service to send messages, automate replies and run business communication workflows for your own business. You must comply with all applicable laws, including those governing electronic communication, telemarketing, data protection and consumer rights in your jurisdiction.

The Service is designed to reduce manual effort for legitimate business messaging. It is not a tool for spam, fraud or unsolicited outreach.

4. Prohibited use

You agree not to use the Service to:

  • Send unsolicited bulk messages, spam, phishing or scam content.
  • Send malicious software, links to malware, or content that infringes intellectual property.
  • Impersonate any person or entity, or falsely state your affiliation.
  • Send content that is obscene, defamatory, hateful, discriminatory or otherwise unlawful.
  • Attempt to bypass rate limits, anti-ban measures or reverse-engineer the platform.
  • Resell, sublicense or repackage the Service except under our official Reseller program.

5. Fees, billing & renewal

Paid plans are billed in advance on a monthly, quarterly or annual basis. Subscriptions auto-renew unless cancelled before the renewal date. Taxes (GST/VAT/sales tax) are added where applicable. Custom plans are governed by the quote signed between you and us.

6. Cancellations

You may cancel your subscription at any time from your dashboard; cancellation stops future auto-renewal but does not refund the current billing period. Payments already made are non-refundable except where required by applicable law or in cases of duplicate charges or proven billing error.

7. Service availability

We target 99.9% uptime but do not guarantee uninterrupted service. The Service depends on third-party infrastructure (including WhatsApp's own messaging platform) which we do not control. Scheduled maintenance and force-majeure events may cause downtime. We are not liable for downtime caused by upstream providers.

8. WhatsApp & third-party services

The Service interoperates with WhatsApp using publicly documented multi-device protocols. We are not affiliated with, endorsed by, or sponsored by WhatsApp Inc. or Meta Platforms Inc. WhatsApp may change, restrict or block any account at its sole discretion. We are not liable for any number ban, message rejection or feature change imposed by WhatsApp.

9. Intellectual property

All software, design, branding and documentation remains our intellectual property. You retain ownership of content and contact data you upload. You grant us a limited licence to host, transmit and process that data solely to provide the Service.

10. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose or non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential or special damages.

12. Indemnification

You agree to indemnify and hold us harmless from any claim, damage or expense (including legal fees) arising out of your misuse of the Service, your violation of these Terms or your infringement of any third-party right.

13. Termination

You may cancel at any time from your dashboard. We may terminate or suspend access for breach of these Terms with or without notice. On termination, your right to use the Service ends immediately; your data may be retained for up to 30 days for recovery, after which it is deleted.

14. Changes

We may update these Terms from time to time. Material changes will be notified by email and/or in-app at least 14 days before they take effect. Continued use after the effective date means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at our registered office.
